These Terms of Service ("Terms") govern your use of Pocket Terminal, a cloud-based Point of Sale platform operated by Simlina OÜ, a private limited company registered in Estonia. By creating an account or using the service, you agree to these Terms in full. If you do not agree, you must not use the service.
1. The Service
Pocket Terminal provides a subscription-based Point of Sale (POS) system accessible via web browser, Android application, and iOS application (collectively, "the Service"). The Service allows businesses to manage sales, inventory, staff, and multi-store operations.
Simlina OÜ grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your internal business operations, subject to these Terms.
2. Account Registration
To access the Service, you must register for an account using a valid email address. You agree to:
- Provide accurate and complete information during registration.
- Keep your login credentials confidential.
- Notify us immediately at support@pocketterminal.com if you suspect unauthorised access to your account.
- Accept responsibility for all activity that occurs under your account.
Simlina OÜ is not liable for any loss or damage resulting from your failure to protect your account credentials.
3. Subscription Plans & Pricing
Pocket Terminal is offered on the following per-store subscription plans, billed monthly in Euros (EUR). Each store in your account is independently subscribed to a plan, and a single account may hold any combination of plans:
- Starter — €15 / store / month. Includes up to 2,000 transactions, 500 products, 200 customer records, 2 devices, and 3 staff accounts per store. Includes digital receipts, offline mode, cloud sync, and multi-store management.
- PRO — €25 / store / month. Includes up to 5,000 transactions, 5,000 products, 5,000 customer records, 10 devices, and 10 staff accounts per store. Also includes advanced reports & charts, CSV export, and priority support.
Additional plans may be introduced in the future. Your total monthly bill equals the sum of the active plan fees across all your stores.
New users receive a 15-day free trial of either plan. No credit card is required to start the trial. To continue using the Service after the trial, a paid subscription is required (see Section 5). Feature availability, limits, and pricing are subject to change with advance notice to existing subscribers.
4. Billing & Payment
Subscription fees for paid plans are billed monthly in advance. Payments are processed securely by Stripe. By subscribing to a paid plan, you authorise Simlina OÜ to charge your payment method on a recurring monthly basis until you cancel.
If a payment fails, we will notify you by email. Access to paid features may be suspended until payment is successfully processed.
All prices are quoted in Euros (EUR) and are exclusive of any applicable taxes (including VAT). Where VAT is due, it will be added to your invoice at the rate prescribed by law for your billing location. Business customers in the EU with a valid VAT identification number may be invoiced under the reverse-charge mechanism in accordance with applicable EU VAT rules.
5. Free Trial & Account Inactivity
New users may access the Service free of charge for up to 15 days without providing payment information. To continue using the Service after the trial period, you must subscribe to a paid plan.
If you do not subscribe by the end of the trial period, your account will be marked inactive: you will no longer be able to sign in to the Pocket Terminal application or admin panel, and the Service will stop processing transactions for your account.
If your account remains inactive — that is, no paid subscription is started — for a further 15 days, your account and all associated data, including products, inventory, transactions, customer records, and staff information, will be permanently deleted, except where we are required to retain specific records to comply with a legal obligation (see Section 7 of our Privacy Policy). Deleted data cannot be recovered.
We will send you reminder emails before your trial ends and before your data is scheduled for deletion. To preserve your account and data, subscribe to a paid plan at admin.pocketterminal.com before the deletion date.
6. Cancellation
You may cancel your subscription at any time from your account dashboard. Upon cancellation:
- Your subscription will remain active until the end of the current billing period.
- You will not be charged for the following billing cycle.
- At the end of the billing period, your account will be marked inactive, and the Service will stop processing transactions for your account.
- If your account remains inactive for 15 days, your account and all associated data will be permanently deleted, unless you re-subscribe within that window. We will send a reminder email before the scheduled deletion. Records we are legally required to retain (e.g. billing records under Estonian accounting law) are excluded from this deletion.

7. Refund Policy
7.1 14-Day Money-Back Guarantee
If you subscribe to a paid plan (Starter or PRO) for the first time and are not satisfied, you may request a full refund within 14 days of your first payment. To request a refund, contact support@pocketterminal.com with your account email and reason for the request.
7.2 After 14 Days
After the initial 14-day period, subscription fees are non-refundable. No partial refunds are issued for unused days in a billing cycle. If you cancel mid-month, you retain access to paid features until the end of the current billing period.
7.3 Exceptions
Refunds may be issued at our sole discretion in cases of extended service unavailability (downtime exceeding 72 hours due to causes within our control) or billing errors. To report a billing error, contact support@pocketterminal.com within 30 days of the charge.
7.4 EU/EEA Consumer Right of Withdrawal
If you are a consumer resident in the European Union or European Economic Area, you have a statutory 14-day right of withdrawal from your initial subscription under EU Directive 2011/83/EU on consumer rights. Our 14-day money-back guarantee in Section 7.1 meets and exceeds this right — within the first 14 days of your initial paid subscription, you may cancel and receive a full refund regardless of usage, by writing to support@pocketterminal.com.
By subscribing to a paid plan, you expressly request that Simlina OÜ begin providing the Service immediately during the withdrawal period, and you acknowledge that, except as set out in Section 7.1, you will not be entitled to a partial refund for any portion of the Service already supplied to you once the withdrawal period has ended.
8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation.
- Process payments for illegal goods or services.
- Attempt to gain unauthorised access to other user accounts or our infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Resell, sublicense, or transfer access to the Service to third parties without our prior written consent.
- Upload malicious code, viruses, or any software intended to damage or disrupt the Service.
Violation of this section may result in immediate suspension or termination of your account without refund.
9. Your Data
You retain full ownership of all business data (products, transactions, customer records) you enter into the Service. By using the Service, you grant Simlina OÜ a limited licence to store, process, and display that data solely for the purpose of providing the Service to you.
We will not sell, share, or use your business data for any purpose other than providing and improving the Service. For full details on how personal data is handled, please see our Privacy Policy.
10. Service Availability
We aim to maintain 99.9% uptime for the cloud-based components of the Service. However, we do not guarantee uninterrupted access and accept no liability for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.
The Pocket Terminal app includes offline mode, which allows sales to continue locally without internet connectivity. Data entered offline will sync to the cloud when connectivity is restored.
11. Intellectual Property
All intellectual property rights in the Pocket Terminal platform, including software, design, trademarks, and documentation, are owned by or licensed to Simlina OÜ. Nothing in these Terms transfers any intellectual property rights to you.
12. Warranty Disclaimer
The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, Simlina OÜ disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will be uninterrupted, error-free, or secure. We do not warrant that the Service will meet your specific business requirements.
Nothing in this section affects mandatory statutory warranties or consumer rights that cannot be excluded under the law applicable to you.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Simlina OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or business interruption, arising from your use of or inability to use the Service.
Our total aggregate liability to you for any and all claims arising under or in connection with these Terms shall not exceed the total subscription fees paid by you to Simlina OÜ in the 3 months preceding the event giving rise to the claim.
Mandatory carve-outs. Nothing in these Terms excludes or limits Simlina OÜ's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) wilful misconduct or gross negligence; or (d) any other liability that cannot be excluded or limited under the mandatory law of the Republic of Estonia or, where applicable, the consumer law of your country of residence.
14. Force Majeure
Simlina OÜ shall not be liable for any failure or delay in performance to the extent caused by events beyond its reasonable control ("Force Majeure Event"), including but not limited to acts of God, war, armed conflict, terrorism, civil unrest, government action or sanctions, pandemic, fire, flood, earthquake, labour disputes, internet or telecommunications outages, third-party service or infrastructure failures, denial-of-service attacks, or failures of public utilities. Performance of the affected obligations will be suspended for the duration of the Force Majeure Event.
15. Mobile Application Stores
15.1 Google Play (Android)
If you download the Pocket Terminal application from the Google Play Store, your use of it is also subject to the Google Play Terms of Service. To the extent the Google Play Terms apply specifically to your acquisition of the application, those terms govern that aspect; in all other respects, these Terms govern the relationship between you and Simlina OÜ.
15.2 Apple App Store (iOS) — Additional Terms
If you download the Pocket Terminal application from the Apple App Store, the following additional terms apply:
- Acknowledgement. These Terms are concluded between you and Simlina OÜ only, and not with Apple Inc. ("Apple"). Simlina OÜ — not Apple — is solely responsible for the application and its content.
- Scope of Licence. The licence granted to you for the application is limited to a non-transferable licence to use it on any Apple-branded device that you own or control, and as permitted by the Usage Rules in the Apple Media Services Terms.
- Maintenance and Support. Simlina OÜ — not Apple — is solely responsible for providing any maintenance and support services for the application.
- Warranty. In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the application. Any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are the sole responsibility of Simlina OÜ.
- Product Claims. Simlina OÜ — not Apple — is responsible for addressing any claims by you or any third party relating to the application, including (i) product liability claims, (ii) any claim that the application fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer protection or similar legislation.
- Intellectual Property. In the event of any third-party claim that the application or your use of it infringes that third party's intellectual property rights, Simlina OÜ — not Apple — will be solely responsible for the investigation, defence, settlement and discharge of any such claim.
- Legal Compliance. You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
- Third-Party Beneficiary. You and Simlina OÜ acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms as they relate to your licence of the application, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
16. Termination
We reserve the right to suspend or terminate your account with or without notice if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately. You may request a copy of your data within 30 days of termination.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before the effective date.
18. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Republic of Estonia. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Estonia, without prejudice to any mandatory consumer protection rights you may have under the law of your country of residence.
